Terms of Service

1. Acceptance of Terms

By accessing and using the HI Agents AI Agents Marketplace ("Platform" or "Service"), you agree to comply with and be bound by these Terms of Service. If you are accepting these terms on behalf of a hospital, clinic, or corporate entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

HI Agents provides a curated marketplace of Artificial Intelligence agents designed for healthcare workflows. These include, but are not limited to, agents for clinical documentation synthesis, telehealth triage, and medical coding. We provide the infrastructure, governance, and audit logging required to deploy these tools.

3. Important Medical Disclaimer

The AI Agents available on the HI Agents platform are designed strictly for administrative, documentation, and informational support. They are not a replacement for professional clinical judgment, diagnosis, or treatment. Licensed healthcare providers bear the sole and ultimate responsibility for all clinical decisions, treatment plans, and verifying the accuracy of any notes, codes, or triage recommendations generated by the AI Agents.

4. HIPAA and BAA Requirements

If your use of the Platform involves the transmission or processing of Protected Health Information (PHI), you must execute a Business Associate Agreement (BAA) with HI Agents prior to deploying any live AI Agents. The terms of the BAA will govern the processing of PHI and will supersede any conflicting clauses in these Terms of Service.

5. Customer Obligations

  • Accuracy of Output: You acknowledge that generative AI can sometimes produce inaccurate or inconsistent output ("hallucinations"). It is your obligation to strictly review, edit, and approve all AI-generated content before entering it into an official medical record (EHR).
  • Patient Consents: You are responsible for obtaining and maintaining any necessary patient consents or authorizations required by law to process their data through third-party AI systems.
  • Account Security: You are responsible for safeguarding your authentication credentials and ensuring that only authorized personnel can access the AI Agents Marketplace.

6. Intellectual Property

HI Agents retains all rights, title, and interest in and to the Platform, including the marketplace infrastructure, governance dashboards, and underlying methodologies. You retain all rights to your patient data, EHR data, and any specific prompts or custom templates you upload to the platform.

7. Limitation of Liability

To the maximum extent permitted by applicable law, HI Agents, its affiliates, and its partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or clinical revenue. Our aggregate liability arising out of or relating to these Terms will not exceed the amount you paid HI Agents in the past twelve (12) months for the Services.

8. Termination

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms of Service, compromises the security of the Platform, or poses a risk to patient safety.
